1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the AEGIS mobile application ("App"), the website at aegis.onl ("Website"), and any related services (collectively, the "Service") provided by ZORRZ Financial Inc., a Delaware corporation ("AEGIS," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
You must be at least 18 years old and a resident of the United States to use the Service.

2. What AEGIS Is

AEGIS is an artificial intelligence-powered financial coaching tool. The Service analyzes financial data you authorize us to access and generates informational insights, observations, and suggestions designed to help you understand your financial picture.
AEGIS is an informational and educational tool. AEGIS is not:

• A broker-dealer or securities intermediary
• A bank, credit union, or money services business
• A fiduciary
• A tax professional, attorney, or accountant

AEGIS does not:

• Move, transfer, or hold your money
• Execute trades or transactions on your behalf
• Initiate any action with your financial institutions
• Provide personalized professional financial, investment, tax, or legal advice
• Guarantee any outcome, return, or savings amount

Any output generated by AEGIS — including recommendations, optimizations, coaching responses, and savings estimates — is informational only. Savings figures represent identified opportunities, not guaranteed outcomes. You are solely responsible for any decisions you make regarding your finances. You should consult qualified, licensed professionals before making significant financial decisions.

3. AI-Generated Content

AEGIS uses artificial intelligence, including a proprietary fine-tuned language model (AEGIS-FIN-1), to analyze financial data and generate outputs. Despite our safety systems, AI-generated content can be incomplete, inaccurate, outdated, or inappropriate for your specific circumstances. You acknowledge that:

5. Connecting Financial Accounts

To provide coaching, AEGIS uses Plaid Inc. ("Plaid") as our data aggregation partner to access read-only financial data from institutions you authorize. By connecting your financial accounts:

• AEGIS's outputs may contain errors
• AEGIS does not have full knowledge of your complete financial situation, goals, risk tolerance, or life circumstances
• AEGIS's outputs reflect patterns and probabilities, not certainties
• You should verify any information AEGIS provides before acting on it

6. Subscription and Payment

• You authorize AEGIS to receive read-only financial data, including account metadata, balances, and up to 24 months of transaction history via Plaid
• You authorize AEGIS to use this data solely to provide the Service to you
• You acknowledge that Plaid’s own terms of service and privacy policy (available at plaid.com/legal) govern Plaid’s collection and handling of your data
• You may disconnect your financial accounts at any time from within the App

AEGIS never receives or stores your banking login credentials. Credentials are handled exclusively by Plaid.
AEGIS may also use Method Financial Inc. ("Method") to retrieve liability information (such as outstanding debts) that you authorize. Method's own terms and privacy policy govern Method's handling of your data.

6.1 Free and Paid Tiers

The Service is offered in a free tier and a paid tier ("AEGIS Pro"). The free tier includes limited functionality. AEGIS Pro provides full functionality for a subscription fee.

• Keep your login credentials secure
• Not share your account with any other person
• Notify us immediately of any unauthorized access at support@aegis.onl
• Be responsible for all activity under your account

6.2 Subscription Fees

Current subscription pricing is displayed in the App. Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). Prices may change; we will notify you before your next billing cycle.

6.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time through your Apple App Store subscription settings.

6.4 Refunds

Refund requests are handled by Apple in accordance with the Apple App Store refund policy. AEGIS does not process refunds directly.

6.5 No Hidden Fees

AEGIS charges only the stated subscription price. We do not charge success fees, percentage-of-savings fees, negotiation fees, or any other fees beyond the subscription. You will never be charged without your explicit prior authorization.

8.1 Our Property

The Service, including all software, algorithms, models, designs, text, graphics, images, and the AEGIS name, logo, and sphere visual identity, is owned by ZORRZ Financial Inc. and protected by intellectual property laws, including pending patents. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

8.2 Your Data

You retain ownership of your financial data. You grant AEGIS a limited license to process and analyze your data solely to provide the Service to you, as described in our Privacy Policy.

8.3 Feedback

If you provide feedback or suggestions about the Service, you grant AEGIS an unlimited, royalty-free, perpetual license to use that feedback without compensation or attribution.

9. Privacy

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Attempt to access any data or accounts that do not belong to you
• Reverse engineer, decompile, or attempt to extract the source code or models underlying the Service
• Use automated systems (bots, scrapers, crawlers) to access the Service
• Submit false information or impersonate any person
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to develop a competing product
• Attempt to manipulate or exploit AEGIS’s AI systems to produce harmful or misleading outputs
• Share, resell, or redistribute the Service or its outputs for commercial purposes

Our Privacy Policy, available at aegis.onl/privacy, describes how we collect, use, store, and protect your information. By using the Service, you agree to the practices described in the Privacy Policy.

10. Termination

10.1 Termination by You

You may stop using the Service and delete your account at any time through the App's Settings. Deleting your account will terminate your access and trigger data deletion as described in our Privacy Policy.

10.2 Termination by Us

We may suspend or terminate your access to the Service, with or without notice, if:

• You violate these Terms
• We suspect fraudulent or unauthorized use of your account
• Required by law or a regulatory authority
• We discontinue the Service

10.3 Effect of Termination

Upon termination, your license to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and dispute resolution) will continue in effect.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
AEGIS DOES NOT WARRANT THAT THE SERVICE'S OUTPUTS ARE ACCURATE, COMPLETE, RELIABLE, OR APPROPRIATE FOR YOUR CIRCUMSTANCES. YOU USE THE SERVICE AND ACT ON ITS OUTPUTS AT YOUR OWN RISK.
AEGIS IS NOT RESPONSIBLE FOR FINANCIAL DECISIONS YOU MAKE BASED ON THE SERVICE, INCLUDING DECISIONS TO BUY, SELL, HOLD, TRANSFER, OR ALLOCATE FUNDS.
NOTHING IN THE SERVICE CONSTITUTES PROFESSIONAL FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. THE SERVICE IS AN AI-POWERED COACHING TOOL THAT PROVIDES INFORMATIONAL CONTENT ONLY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF AEGIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AEGIS'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID AEGIS IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.

13. Indemnification

You agree to indemnify, defend, and hold harmless AEGIS and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any financial decision you make based on the Service's outputs.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@aegis.onl and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

14.2 Binding Arbitration

Any dispute not resolved informally will be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will take place in Delaware or, at your election, your home state. The arbitrator's decision will be final and binding.

14.3 Class Action Waiver

YOU AND AEGIS AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

14.4 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims relating to intellectual property infringement or misuse of confidential information.

14.5 Opt-Out

You may opt out of arbitration by emailing legal@aegis.onl within 30 days of first accepting these Terms, stating your name, email address, and that you opt out of the arbitration provision.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the App before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree, you must stop using the Service and delete your account.

17. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and AEGIS regarding the Service.
Severability. If any provision is held invalid, the remaining provisions will continue in full force.
No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
